Institute of Chinese Cuisine (ICC) — Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the websites, web pages, and online services operated by ICC ENTERPRISE LLC (“ICC Enterprise,” “we,” “us,” or “our”), including without limitation the website located at icc.education and any successor or affiliated domains (collectively, the “Site”).

The Site provides information and services relating to the Institute of Chinese Cuisine (ICC), including educational content, industry research, standards and credentialing programs, assessment pilots, membership or waitlists, employer-facing services, and related initiatives (collectively, the “Services”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Definitions

  • “ICC” refers to the Institute of Chinese Cuisine brand and academic platform administered by ICC Enterprise.

  • “Dean’s Office” refers to ICC’s top-level governance function.

  • “Blue Banner Council” is ICC’s institute-level honors governance body responsible for integrity and recognition governance of the Blue Banner honors system.

  • “Standards & Credentials Office” is ICC’s institute-level office responsible for credentialing governance, verification, registry administration, and related oversight.

  • “Ready Employer” and “hranchor” are affiliated initiatives/brands administered by ICC Enterprise and may support or deliver certain Services as described on the Site.

  • “User,” “you,” or “your” means any person or entity using the Site or Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services, create an account, submit applications, or make purchases, unless a specific Service expressly permits otherwise with verifiable parental/guardian consent.

If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Changes to the Terms

We may update these Terms from time to time. The “Last Updated” date above indicates when changes were made. Your continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms.

4. Privacy

Your use of the Site and Services is also subject to our Privacy Policy (posted on the Site). If there is a conflict between these Terms and the Privacy Policy regarding privacy matters, the Privacy Policy controls.

5. No Legal, Tax, or Professional Advice

The Site and Services may include information related to workforce management, compliance topics, and operational practices. We do not provide legal, tax, accounting, or other regulated professional advice. You should consult qualified professionals for advice applicable to your specific situation. Nothing on the Site creates an attorney-client relationship or other fiduciary relationship.

6. Services Overview; No Guarantee of Availability

We may offer, modify, or discontinue any part of the Services at any time, including assessments, credential pilots, employer desk services, membership programs, content libraries, events, or waitlists. Some Services may be offered on an invitation-only basis or limited by geography, capacity, eligibility, or other criteria.

7. Accounts, Registration, and Security

Certain Services may require you to create an account, submit an application, or register. You agree to:

  • Provide accurate and complete information;

  • Keep your account information up to date;

  • Maintain the confidentiality of your login credentials; and

  • Notify us promptly of any suspected unauthorized use.

You are responsible for all activity under your account.

8. Applications, Assessments, Credentials, and Verification

8.1 Program Applications and Participation

You may be required to submit information, documentation, and attestations to participate in assessments or credential programs. You represent that all submitted information is accurate and not misleading.

8.2 Credentialing Is Not a Government License

Any ICC credential, certificate, badge, or verification (collectively, “Credential”) is an ICC-administered recognition and is not a government-issued license, and does not replace any permits, licenses, or legal compliance requirements applicable to your work or business.

8.3 Standards & Credentials Office Authority

The Standards & Credentials Office may establish program rules, verification requirements, renewal requirements, and audit or review procedures. We may deny, suspend, revoke, or modify a Credential or verification status if we reasonably determine:

  • You provided false, misleading, or incomplete information;

  • You violated program rules or assessment integrity requirements;

  • You engaged in misconduct that undermines program integrity; or

  • Your Credential use creates confusion, misrepresentation, or reputational harm to ICC.

8.4 Registry and Public Verification

Where offered, ICC may maintain a public verification mechanism (e.g., a registry) showing limited information such as credential status, dates, level, and verification ID. By participating, you consent to such limited publication for verification purposes, subject to the Privacy Policy.

8.5 Assessment Integrity

You agree not to cheat, misrepresent skills, falsify evidence, or otherwise compromise assessment integrity. We may use identity verification, recorded sessions, proctoring methods, or audit reviews where appropriate and permitted by law.

9. Employer Desk, Matching, and Employment-Related Disclaimers

9.1 No Employment Guarantee

ICC does not guarantee interviews, job offers, hiring outcomes, retention outcomes, wage levels, or business results.

9.2 Not an Employment Agency (Unless Expressly Stated)

Unless expressly stated in a separate written agreement, ICC is not acting as an employment agency, staffing agency, or recruiter of record. Any matching, referrals, or introductions are provided as part of ICC’s programs and services described on the Site.

9.3 Employer Responsibilities

If you are an employer using any employer-facing services, you represent and warrant that you will comply with all applicable labor, employment, wage-hour, anti-discrimination, workplace safety, immigration, and tax laws, and that you are solely responsible for hiring decisions and workplace practices.

9.4 Candidate Responsibilities

If you are a candidate/chef, you are solely responsible for the accuracy of your experience, eligibility to work, and any required licensing or legal requirements.

9.5 Ready Employer and hranchor

Certain employer desk services, workforce tools, or educational content may be administered or delivered by our affiliated initiatives Ready Employer and hranchor, as described on the Site. ICC Enterprise remains the Site operator; specific services may be governed by additional terms or statements presented at the point of use.

10. Blue Banner Honors System

10.1 Governance

The Blue Banner honors system is governed by ICC’s Blue Banner Council under the Dean’s Office. Blue Banner processes may include nomination, review, deliberation, and integrity safeguards.

10.2 No Entitlement; Discretion

Blue Banner recognition is not guaranteed and is conferred at the discretion of the Blue Banner Council consistent with published or internal governance processes.

10.3 Integrity; Revocation

Blue Banner recognition may be suspended or revoked if integrity concerns arise, including falsification, misconduct, or actions that materially undermine the credibility of the honors system.

11. Payments, Fees, and Taxes

If you purchase or pay for any Services (including assessments, credentials, memberships, events, or employer services), you agree to:

  • Pay all fees and charges associated with your purchase;

  • Provide current, complete, and accurate billing information; and

  • Authorize us (and our payment processors) to charge your payment method.

Prices may be displayed in USD unless otherwise stated. You are responsible for applicable taxes, duties, and governmental charges unless otherwise stated.

12. Refunds, Cancellations, and Rescheduling

Refund and cancellation terms may vary by Service and will be displayed at checkout or in program-specific policies. Unless otherwise stated in writing:

  1. Digital content and downloads: Non-refundable once accessed or delivered.

  2. Assessments: May be rescheduled subject to stated rules; no refunds for no-shows.

  3. Events: Refunds (if any) depend on the event policy; we may offer credits or rescheduling if an event is canceled by us.

  4. Employer services: Fees may be non-refundable once work has started; any success-based fees depend on the written terms governing that engagement.

We may deny refunds if we reasonably determine fraud, abuse, or policy violation.

13. Intellectual Property; Trademarks

The Site and Services (including text, graphics, logos, images, videos, software, and compilations) are owned by or licensed to ICC Enterprise and protected by intellectual property laws.

“Institute of Chinese Cuisine,” “ICC,” “Ready Employer,” “hranchor,” “Blue Banner,” and related names, logos, and marks may be trademarks or service marks of ICC Enterprise or affiliates. You may not use any marks without prior written permission.

14. Limited License; Acceptable Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes in accordance with these Terms.

You agree not to:

  • Use the Site for illegal activities;

  • Interfere with the Site’s security or functionality;

  • Attempt unauthorized access to systems or accounts;

  • Scrape, harvest, or collect data without permission;

  • Upload malware or harmful code;

  • Impersonate others or misrepresent affiliation;

  • Post unlawful, defamatory, harassing, discriminatory, or infringing content; or

  • Use the Services to create confusion or misrepresentation regarding credentials, honors, or ICC affiliation.

15. User Content; Feedback

If you submit content (including applications, portfolios, photos, videos, testimonials, comments, or feedback) (“User Content”), you represent you have rights to submit it and it does not violate any law or third-party rights.

You grant ICC Enterprise a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and display User Content only as reasonably necessary to operate the Services, administer programs, verify credentials, and market ICC (e.g., publishing testimonials), subject to the Privacy Policy and any consent you provide.

You may request removal of certain marketing uses of your content, subject to operational needs (e.g., credential verification records may need to be retained).

16. Third-Party Services and Links

The Site may link to third-party websites or services (including payment processors or scheduling tools). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

17. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICC ENTERPRISE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ICC ENTERPRISE, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ICC ENTERPRISE FOR THE RELEVANT SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU PAID NOTHING, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the fullest extent permitted by law.

19. Indemnification

You agree to indemnify, defend, and hold harmless ICC Enterprise and its affiliates and their directors, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Site or Services;

  • Your violation of these Terms;

  • Your violation of any law or third-party rights; or

  • Your User Content.

20. Suspension and Termination

We may suspend or terminate your access to the Site or Services at any time if we reasonably believe you violated these Terms, compromised program integrity, engaged in fraudulent conduct, or created legal or reputational risk for ICC.

Termination does not eliminate obligations incurred prior to termination (including payment obligations), and Sections that by their nature should survive will survive.

21. Communications; Electronic Consent

By using the Site or providing contact information, you consent to receive communications from us electronically (email, text, or notices on the Site), consistent with the Privacy Policy. Standard messaging rates may apply.

You may opt out of marketing emails via the unsubscribe link. Certain transactional or program integrity communications may still be sent as needed.

22. Force Majeure

We are not liable for delays or failures to perform due to events beyond our reasonable control, including natural disasters, internet outages, labor disputes, governmental actions, or other force majeure events.

23. Governing Law; Dispute Resolution; Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

You agree that any legal action or proceeding arising out of or related to these Terms or the Site/Services shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction and venue in those courts.

Nothing prevents either party from seeking injunctive or equitable relief to protect intellectual property or confidential information in any court of competent jurisdiction.

25. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions remain in full force and effect.

26. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a corporate reorganization, merger, acquisition, or sale of assets.

27. Entire Agreement

These Terms, together with any posted policies (including the Privacy Policy) and any program-specific terms you agree to, constitute the entire agreement between you and ICC Enterprise relating to the Site and Services and supersede any prior or contemporaneous understandings.
